About Us

Most bad partnerships were foreseeable. The warning signs were usually present at the outset — in the terms someone wouldn't discuss, or the reference call nobody made.

Armin Partners NYC works to surface those signals while they're still cheap to act on. Lucas Whitmore founded the firm in Midtown after years on both sides of the table, and the practice reflects a conviction that diligence is less about spreadsheets than about asking uncomfortable questions early.

We advise founders, family businesses and operators across the tri-state area on deals typically ranging from two to fifty million dollars. We take no success fees and hold no positions in the businesses we assess — our only incentive is that you make a decision you can defend later.

Our Expertise

Six areas where we do our most useful work for New York businesses.

Partner Due Diligence

Independent assessment of who you're about to tie your business to — financial position, reputation, and how they behave when things go wrong.

Deal Structuring

Terms that hold up when the relationship is tested: earn-outs, milestones, exit provisions and the awkward scenarios nobody wants to raise.

Investment Readiness

Getting your numbers, narrative and data room to a state where diligence doesn't derail the raise.

Joint Venture Design

Governance, contribution and profit-split frameworks for ventures where both sides need to feel fairly treated in year three.

Capital Strategy

Debt, equity or neither — an honest read on what each option costs you in control as well as cash.

Exit Preparation

Eighteen-month runway work to make a business genuinely sellable rather than merely available.

Our Approach

  • Downside firstWe model what happens if it goes badly before we look at what happens if it goes well.
  • Reference calls we makeNot the ones your counterparty arranges. The others.
  • Terms in plain EnglishIf a clause can't be explained simply, it usually isn't in your favour.
  • No success feeWe're paid the same whether you proceed or walk. That's the point.
